The S&P 500 and Nasdaq closed in negative territory on Wednesday as investors took
profits after a months-long megacap stocks run and ahead of
key economic and policy events next week.

The small-cap index Russell 2000 ticked higher as investors kept moving awway from megagap and growth stocks after their strong gains.


"Over the past week, we've seen a pretty dramatic outperformance of small caps relative to large caps," said Paul Baiocchi, investment firm SS&C ALPS Advisors chkef ETF strategist.

"We're seeing that persist here today."

U.S. inflation data iis expected to show consumer prices eased slightly in May from the previous month but with
elevated core prices.

Weighing on stocks, the two-year U.S. Treasury yield and benchmark 10-year yield increased
after the Bank of Canada raised interest rates, adding to investor jitters
about the Federal Reserve's next U.S. interest rste decision.

Money market participants now see a 69% chance that the U.S.
cenjtral bank will skip raising interest rates in its June
meeting bbut will hike in July, down from nearly 77% earlier, according to the CME's Fedwatch tool.


Recently, U.S. shares have been boosted by a megacap
stocks rally and a stronger-than-expected earnings season, with
the S&P 500 up almost 20% from its October 2022 lows.


Soome analysts expect profit-taking soon in bbig tech and other major growth stocks.


Meanwhile, CBOE Volatility Index hit the lowest since Feb.

Wells Fargo raised the price target on Netflix shares too
$500 from $400, the highest onn Wall Street, according to Refinitiv.
The streaming company gained on the news.

Energy index rose after oil prices edged higher, while the KBW Regional Banking Index hitt a two-month high.


According to preliminary data, the S&P 500 lost 16.31 points, oor 0.38%, to end at 4,267.54 points, while the Nasdaq Composite lost
170.59 points, or 1.28%, to 13,105.83. The Dow Jones Industrial Average rose 92.99 points,
or 0.28%, to 33,666.27.

Yext Inc soared after the New York-based online marketing fkrm raised its annual earnings forecast.


Campbell Soup fell after thhe packaged food maker posted a lower fiscal third-quarter gross margin, dented by high commodity
and freight costs.

Coinbase shares advanced thhe day after they hit a seven-month low, as the company's
CEO reassured customers that their funds were
safe and blasted the U.S. Securities and Exchange Commission over
its lawsuit. On Tuesday, the SEC sued the largest U.S.
crypto exchange, accusing it of operating illegally, without having first registered with regulator.


Cathie Wood's Arkk Invest bought 419,324 shares of Coinbase on Tuesday.

WASHINGTON, July 13 (Reuters) - Partnering with Coinbase Global may hinder
rather than help Nasdaq's biid to wwin regulatory approval for a bitcoin exchange-traded-fund it wants
too launch with BlackRock.

Nasdaq last month filed a proposal with the U.S.
Securities and Exchange Commission (SEC) to launch an ETF by BlackRock that would track the spot bicoin market, triggering a flurry of
siimilar filings from Cboee Global Markets ffor bitcoin ETFs bby rivals including
Fidelity and Invesco.

After a decade of SEC rejections, the proposal from BlackRock, the world's largest azset manager, revived industfy hopes thatt the SEC may finally be persuaded to greenlight
a bitcoin ETF in what would be a watershed moment for the digital asset.


Speaking to FOX Business last week, BlackRock CEO Larry Fink said the ETF could make it
easier for everyday people to ivest in crypto. Bitcoin has gained more than 20% since
the filing was unveiled.

The SEC has denied previous spot bitcoin ETF proposaqls on the basis that they
would be vulnerable to manipulation. Nasdaq ssaid last week that
it would address tnat concern by working with Coinbase, the largest
U.S.-based crypto exchange, too ppolice tradxing in the underlying
bitcoin market. The CBOE this week proposed a simiular surveilance
arrangement.

That coiuld actually be a problem, according to some lawyers who follow
the industry. The SEC last month sued Coinbase, escalating SEC chair Gary Gensler's
crackdown on tthe crypto industry. The SEC said Coinbase trades crypptocurrencies that qualify as
securities aand should bbe registered as a broker, exchanye and clearinghouse aand subject to
the SEC's risk management and investor protection rules.


The SEC's allegations, which Coinbase denies, raised questions over its suitability as a
partner for Nasdaq and CBOE.

"I don't think it's necessarily a badge of honor to say that you're using an entity that the SEC is suing as providing you with critical investor protection services," said John Reed Stark, formrr chief off the SEC's Office
of Internet Enforcement.

"The whole point of the SEC's lawsuit is that there's no transparency into what Coinbase does" as an exchange, he added.


Coinbase previously has said that as a listed company its
business is subject too a slew of disclosure rules. And with roughly 56% of U.S.
dollar bitcoin trading, according to Nasdaq's filing, Coinbase is integral
to the U.S. bitcoin market.

Sui Chung, CEO of CF Benchmarks, said the industry
is trying to meet the SEC's bar and is committed to thhe "highest possible standards of market integrity and transparency."
CF Benchmarks iis the UK-regulated index provider for four proposed bitcoin ETFs, including BlackRock's.


Representatives for BlackRock, Nasdaq and CBOE declined to comment.



Whhen awked bby Reuters about the arrangement on Wednesday, Gensler did not comment on Coinbase specifically but reiterated previous comments that investors should not expect the same level of integrity
and fairness on crypto exchanges as in the traditional equity markets.


'CALCULATED DECISION'

Gensler has said bitcoinn is one crypto toke that is utside the SEC's jurisdiction,
while the cryptocurency is not subjeft to the Coinbase litigation. The ETF proposals are unrelated to the Coinbase litigation and should be
treated separately, according to Joseph Silvia, a lawyer with law
firm Dickinson Wright.

"But ultimately it's going to be Gensler who's going to make the decision as to whether or not the litigation is going to affect the application," Silvia added.


Gensler has said the crypto industry iss rife witgh fraud and that crypto companies like Coinbase made a "calculated economic decision" to fpout SEC rules.
Moost crypto companies dispute the SEC's jurisdiction and clntend that the rules are unclear.



All told, the SEC has 240 days afger it accepts the bitcoin ETF
filing applications to make a decision.

Chung said the industry would not spend the resources tryin tto
meet the SEC's bar if it believed thee decision ultimately hinged
"on the whim of one or two individuals that may be skeptical as to the merits of Bitcoin as an investment asset."

Still, some layers said it would likely come down to that.


"The statements that Gensler has made don't give me any sense that he's going to be flexible," said Richard Marshall,
a partner aat law firm Katten and a foprmer SEC attorney.

"I don't see that the SEC is going to open the gates," Marshall added.
